These terms constitute a legally binding agreement between you ("Client") and TaskMate ("Company"). Your continued use of our services constitutes acceptance of any modifications to these terms.

2. Service Description

TaskMate provides on-demand automation and AI implementation services through a monthly subscription model. Our core services include:

  • Lead Generation Systems: Scalable outbound and marketing automation to grow your business on autopilot
  • Internal Systems: Centralized operations and knowledge management with powerful automated tools
  • Administrative Automation: Smart solutions for handling administrative and contractual tasks
  • AI Execution: Artificial intelligence that automates key execution processes to reduce staffing costs
  • CRM Deployment: Sales systems to track, iterate, and scale growth like an 8-figure company
  • Recruitment Systems: Automated processes to identify, contact, and assess candidates

2.1 Service Delivery Model

Our services are delivered through a flexible subscription model that allows you to:

  • Pause Anytime: No long-term commitments - pause or cancel your subscription whenever needed
  • Asynchronous Updates: Receive updates via Slack and weekly consultation calls
  • Rapid Deployment: Start as soon as tomorrow with a 30-minute intro call
  • Iterative Refinement: Systems are revised until you are completely satisfied

3. Service Agreement and Contract Formation

All services are provided subject to a separate, detailed service agreement that will be executed between TaskMate and the client. The terms of this website do not constitute a binding service agreement.

  • Proposal Stage: Initial consultation and project scoping
  • Contract Execution: Formal service agreement with detailed terms
  • Project Commencement: Services begin upon contract execution and initial payment
  • Change Management: Modifications require written agreement

4. Subscription Terms and Billing

Our services are provided through a monthly subscription model with the following terms:

  • Monthly Billing: Subscription fees are billed monthly in advance
  • Flexible Cancellation: Cancel or pause your subscription at any time with 30 days notice
  • No Long-term Commitments: Unlike traditional agencies, no 4+ month retainers required
  • Currency: All payments in USD unless otherwise specified
  • Late Payments: 1.5% monthly interest on overdue amounts
  • Price Changes: 30 days written notice for subscription price modifications

4.1 Service Delivery Timeline

We can start as soon as tomorrow. You will participate in a 30-minute intro call to discuss details and prepare for launch, then we'll get to work. Our approach focuses on building systems in short, intensive sessions rather than long-term projects.

5. Intellectual Property Rights

All content, including but not limited to text, graphics, logos, software, methodologies, and proprietary algorithms, is the property of TaskMate or its content suppliers and is protected by copyright, trademark, and other intellectual property laws.

  • Client-Owned IP: Custom solutions developed for clients will be owned by the client upon full payment
  • TaskMate IP: Pre-existing methodologies, frameworks, and tools remain TaskMate property
  • Third-Party IP: Use of third-party intellectual property subject to respective licenses
  • Open Source: Open source components used in accordance with respective licenses

6. Confidentiality and Data Protection

TaskMate agrees to maintain the confidentiality of all client information and will not disclose such information to third parties without written consent, except as required by law.

  • Confidential Information: All business, technical, and financial information shared by client
  • Data Security: Implementation of appropriate technical and organizational measures
  • Data Retention: Client data retained only as long as necessary for service provision
  • Breach Notification: Immediate notification of any data security incidents
  • GDPR Compliance: Full compliance with applicable data protection regulations

7. Limitation of Liability and Disclaimers

TaskMate's liability is limited to the amount paid for the specific services. We are not liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Data loss, corruption, or unauthorized access
  • Third-party actions, decisions, or failures
  • Force majeure events beyond our control
  • Client's failure to implement recommendations

7.1 Service Warranties

Services are provided "as is" without warranties of any kind, either express or implied. TaskMate does not warrant that services will be uninterrupted, error-free, or meet specific business outcomes.

8. Termination and Suspension

Either party may terminate services with written notice as specified in the service agreement. Upon termination:

  • Payment Obligations: All outstanding payments become immediately due
  • Confidentiality: Confidentiality obligations continue indefinitely
  • Intellectual Property: IP rights are preserved as per agreement
  • Data Return: Client data returned or securely destroyed
  • Transition Support: Reasonable transition assistance provided

8.1 Immediate Termination Rights

Either party may terminate immediately for material breach, insolvency, or violation of applicable laws.

9. International Compliance and Governing Law

These terms are governed by the laws of the jurisdiction where TaskMate operates, with consideration for international business practices:

  • Governing Law: Laws of [Jurisdiction] without regard to conflict of law principles
  • Dispute Resolution: Binding arbitration under [Arbitration Rules]

11. Indemnification

Client agrees to indemnify and hold harmless TaskMate from any claims, damages, or expenses arising from:

  • Client's use of services in violation of these terms
  • Client's violation of applicable laws or regulations
  • Client's infringement of third-party rights
  • Client's provision of inaccurate or incomplete information

12. Professional Standards and Ethics

TaskMate commits to maintaining the highest professional standards:

  • Professional Conduct: Adherence to industry best practices and ethical standards
  • Competency: Continuous professional development and certification
  • Conflict of Interest: Disclosure and management of potential conflicts
  • Quality Assurance: Regular review and improvement of service delivery

13. Changes to Terms

TaskMate reserves the right to modify these terms at any time. Changes will be posted on this page and will become effective immediately upon posting. Continued use of services constitutes acceptance of modified terms.

14. Severability and Waiver

If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. No waiver of any term shall be deemed a further waiver of such term or any other term.
